CONSTITUTION

THE ERIE COUNTY RETIRED TEACHERS’ ASSOCIATION
OF
THE ERIE COUNTY RETIRED TEACHERS’ ASSOCIATION
ARTICLE I – NAME
The name of this organization shall be The Erie County Retired Teachers’ Association, hereinafter referred to as ECRTA. ECRTA is the Erie County Chapter of the Ohio Retired Teachers Association.
ARTICLE II – MEMBERSHIP
SECTION 1 – Any person who is listed as a member of the Ohio Retired Teachers' Association or who had been employed in the schools of the nation is eligible for membership.
SECTION 2 – An active member is one who has paid dues for the upcoming program year as defined in the By-laws.
ARTICLE III – OBJECTIVES
The objectives of ECRTA shall be:
SECTION 1 – To keep in touch with the Ohio Retired Teachers' Association and thereby to obtain such benefits as may arise from time to time.
SECTION 2 – To further good fellowship among retired teachers.
SECTION 3 – To provide for the welfare and to promote the financial interests of retired teachers by united action with the Ohio Retired Teachers' Association to secure benefits we always enjoy.
SECTION 4 – To secure the passage of legislation favorable to the interests of this organization.
SECTION 5 – To follow the purpose of the Ohio Retired Teachers' Association as set forth in Article I of the Ohio Retired Teachers' Association Constitution.
SECTION 6 – To assist the Ohio Retired Teachers' Association in recruiting, forming, developing and sustaining membership.
ARTICLE IV – OFFICERS AND EXECUTIVE BOARD
SECTION 1 – The members shall elect a President, a First Vice-President, a Second Vice-President, a Secretary, and a Treasurer. Together with the appointed Parliamentarian, they shall serve as the Officers and shall conduct the business of ECRTA. The Officers shall serve for two years or until successors are elected, appointed or designated.
SECTION 2 – The Executive Board shall consist of the Officers, the Immediate Past President, and the Standing Chairs for Program, Legislative, Membership, Publicity, Contacts, and Sunshine activities. ECRTA officers and Standing Chairs must be Ohio Retired Teachers' Association members in good standing.
SECTION 3 – The majority of the Executive Board members shall constitute a quorum to conduct business.
SECTION 4 – The legislative powers of the organization shall be vested in the active membership.
SECTION 5 – The administrative powers of the organization shall be vested in the Executive Board.
ARTICLE V – NOMINATIONS AND ELECTIONS
SECTION 1 – At the June general membership meeting in odd-numbered years, the President shall appoint a Nominating Committee of three members.
SECTION 2 – At the October general membership meeting in odd-numbered years, the Nominating Committee Chair shall present to the members a slate of officers. Nominations may also be made from the floor. All nominees must be Ohio Retired Teachers' Association members in good standing. The nominee for President must be a past member of an Executive Board of ECRTA. Elections of any officer shall be by secret ballot if there is more than one candidate for that office. Otherwise, the Secretary may be instructed to cast a unanimous ballot for the unopposed slate.
SECTION 3 – In odd-numbered years the newly elected Officers shall be installed at the December general membership meeting and assume their duties beginning the following January 1st.
ARTICLE VI – MEETINGS
SECTION 1 – The general membership meetings shall be held on the second Friday of February, April, June, October, and December. Meetings shall be preceded by a luncheon.
SECTION 2 – Executive Board meetings shall be held in January, March, May, September, and November at times and places convenient to its members. The Executive Board shall have additional meetings when it deems necessary.
SECTION 3 – Special meetings shall be called at the discretion of the Executive Board or upon the request of five active members to the President.
SECTION 4 – The annual general membership meeting of ECRTA shall be the December general membership meeting with the installation of the Officers.
ARTICLE VII – AFFILIATE CHAPTER RESPONSIBILITIES
SECTION 1 – ECRTA shall file the Constitution, By-laws and other pertinent documents of ECRTA with the state office of the Ohio Retired Teachers' Association.
SECTION 2 – ECRTA shall submit annual reports as requested by the Ohio Retired Teachers' Association.
ARTICLE VIII – NON-PROFIT STATUS
SECTION 1 – ECRTA and its Executive Board shall refrain from any action or activity which might harm its status as an organization whose receipts are exempt from income taxes.
SECTION 2 – ECRTA shall be dedicated to educational, social, charitable and beneficial purposes.
ARTICLE IX – DISSOLUTION
SECTION 1 – ECRTA may be dissolved only after: (1) an affirmative vote of at least two-thirds of the Executive Board, and (2) thereafter, an affirmative vote of at least two-thirds of the active members casting a ballot, provided notification of the proposed dissolution is announced at least 60 days before the voting is to take place.
SECTION 2 – In the event of dissolution, whether voluntary or involuntary or by operation of law, the assets of ECRTA shall be given to an Ohio educational and/or charitable organization(s) selected by the Executive Board. Such organization(s) shall be deemed “exempt” under Section 501(c) (3) of the U.S. Internal Revenue Code, as amended.
ARTICLE X – AMENDMENTS
SECTION 1 – With recommendations from the Executive Board, the Constitution may be amended at a general membership meeting by two-thirds vote of all active members present, provided notice of proposed amendment(s) has been given at the previous general membership meeting.
SECTION 2 – Amendments shall become effective upon adjournment of the meeting at which the amendments were adopted.
